Please read this agreement carefully before accessing or using the information and services available through the ZaaBiz website ("Site").By accessing or using the Site, you agree to be bound by the terms and conditions below. ZaaBiz may modify this agreement at any time, and such modifications shall be effective immediately upon posting the modified agreement on the Site. ZaaBiz also has a comprehensive privacy policy for users of the Site.

 

Registering with ZaaBiz

 

To be a member of ZaaBiz, you must be over 18 years old, and fill in all the mandatory fields on the registration forms.

All equipment (computer, software, means of telecommunication, etc.) used to access ZaaBiz services are under your exclusive responsibility, as are the telecommunication costs incurred by their use.

You guarantee that the data you share with us is accurate and true. You agree to provide a real email address, of which you are the actual owner.

Once registered, you will be given one or several personal and confidential login(s) and password(s). These must not be communicated to or shared with third parties. In no case will ZaaBiz be held responsible for the loss of your usernames and/or passwords. You may change your password at any time by following instructions. You may also change your login by contacting customer service. You may also delete services attached to your registration at your convenience.

In the event that you misuse the login and authentication logins or passwords, ZaaBiz reserves the right to terminate your account without prior notice. You will be solely liable for the use of the login and authentication logins/passwords by third parties or for actions or statements made through your account, whether fraudulent or not. You hereby agree to indemnify ZaaBiz against any claim, fine or damages resulting from such misuse.

ZaaBiz does not have the means to check the identity of people registering for its services. ZaaBiz will not be held responsible for any alleged or actual identity theft. If you think that someone is using your account or your identity, you must inform us immediately by post at the aforementioned address.

ZaaBiz reserves the right at any time to change or modify the pages of its website, the services, prices and/or conditions of use applicable thereto.
These modifications shall become effective as soon as they are put online on the www.zaabiz.com.au site and will not constitute a cause for termination by a member of his/her ZaaBiz subscription.

In accordance with relevant distant selling legislation, you are informed that you are entitled to a period of seven calendar days, from the date of subscription, to exercise your right of withdrawal without penalty and without cause. However, the right of withdrawal may no longer be exercised once you have accessed the features associated with this service.

 

Copyright and trademarks

 

Copyright in the material and trademarks on this Site are owned by ZaaBiz Pty. Ltd. (ACN 125 003 732) unless otherwise indicated and you agree not to infringe any intellectual property rights owned by ZaaBiz.

You are specifically prohibited from modifying, copying, reproducing, downloading, distributing, transmitting, commercially exploiting and/or distributing in any manner whatsoever the services, pages from the www.zaabiz.com.au website or the computer codes of the items making up the services and the www.zaabiz.com.au site.

ZaaBiz is licensed to use the intellectual property rights associated with the content provided by members for the purpose of communication on the www.zaabiz.com.au site. This license specifically grants ZaaBiz the right to reproduce, represent, adapt, translate, digitise, use for advertising, commercial or non commercial purposes, to sub-license or surrender any of your content (information, description, etc.).

 

Information for personal, non-commercial use only

 

You agree that information contained on this Site is for personal use only and may not be sold, redistributed or used for any commercial purpose. You may download material from this Site for your personal, non-commercial use only, provided you keep intact all copyright and other proprietary notices.

You may not modify, copy, reproduce, republish, upload, post, transmit or distribute in any way any material from this Site including code and software. You must not use this Site for any purpose that is unlawful or prohibited by these terms of use.

You may not use data mining, robots, screen scraping, or similar data gathering and extraction tools on this Site for establishing, maintaining, advancing or reproducing information contained on our Site on your own website or in any other publication, except with our prior written consent.

 

Use of ZaaBiz

 

Once registered, you will be granted access to ZaaBiz services. The price and payment terms and conditions for the different services are available on the ZaaBiz site during introduction to and use of the services you wish to subscribe to.

By using ZaaBiz, you specifically agree to observe the following rules:

•       To comply with the laws in force and respect the rights of third parties as well as the present provisions.

•       To deal honestly with ZaaBiz and other users.

•       To respect the intellectual property of ZaaBiz, other users and third parties.

•       To use ZaaBiz features only for their intended purpose.

•       Not to send ZaaBiz or other users any data your private information which if disclosed could be prejudicial to you.

•       Not to distribute data or contents which are untrue or misleading

•       Not to distribute data or contents which contain MLM (Multi Level Marketing) material of any kind. MLM is not allowed on the ZaaBiz site and offenders risk being expelled from membership.

•       Not to distribute or post any data or contents that may harm other users or third parties, or violate the rights of others, including but not limited to any content of a defamatory, insulting, obscene, offensive, violent nature or capable of inciting others to violence, nor content of a political, racist or xenophobic nature, or any other content that is contrary to the purpose of ZaaBiz, or the applicable laws and regulations.

•       Not to distribute data with the intent to diminish, disorganise or prevent the normal use of ZaaBiz, disrupt and/or slow down the normal circulation of communications between members.

In case of infringement by a member of one or more of these rules, ZaaBiz reserves the right to terminate the contract unilaterally and without prior notification, to block the account(s) of the members in question, to automatically delete litigious messages, to prevent the posting of all or part of a member's profile, and/or to block his/her access to all or part of the services, on a temporary or permanent basis, without any compensation.

In any case, ZaaBiz will not reimburse any sums paid by the user due to the permanent deletion of an account by ZaaBiz.

ZaaBiz shall not be held responsible for any false or misleading statements made by a member. ZaaBiz disclaims all responsibility related to any communications between ZaaBiz members, on ZaaBiz or during meetings between members and/or non-members, as a result of the use of its site and services.

ZaaBiz provides links and pointers to Internet sites maintained by third parties from its Site, also ZaaBiz members may provide such links within their profiles. Such linked sites are not under the control of ZaaBiz and ZaaBiz is not responsible for the contents (including accuracy, legality or decency) of any linked site or any link contained in a linked site. ZaaBiz is providing these links to you only as a convenience, and the inclusion of any link does not imply endorsement by ZaaBiz of the linked site. ZaaBiz is not responsible for the copyright compliance of any linked site. ZaaBiz will not be liable for any damages or loss arising in any way out of or in connection with or incidental to any information or third party service provided by any third party.

 

No guarantees as to the service

 

ZaaBiz provides no warranty to you that the services generally available through its Site will be uninterrupted or error-free or that defects in the service will be corrected. You also understand that ZaaBiz cannot and does not guarantee or warrant to you that files available for downloading through the Site or delivered via electronic mail through the Site will be free of infection or viruses, worms, Trojan horses or other code that manifest contaminating or destructive properties. You are responsible for implementing sufficient procedures and checkpoints to satisfy your particular requirements for accuracy of data input and output, and for maintaining a means external to the Site for the reconstruction of any lost data.

 

Our rights to use information you send us

 

ZaaBiz welcomes ideas and feedback from you about all aspects of the Site. You agree that ZaaBiz may reproduce, distribute, transmit, create derivative works of, and publicly display any materials and other information (including ideas for new or improved products and services) that you submit to any public areas of the Site (such as bulletin boards, forums and newsgroups) or by email to ZaaBiz. No guarantees as to security of your information

 

While ZaaBiz takes all due care in ensuring the privacy and integrity of the information you provide, the possibility exists that this information could be unlawfully observed by a third party while in transit over the Internet or while stored on ZaaBiz systems or on ZaaBiz Site. ZaaBiz disclaims all liability to you to the greatest extent possible pursuant to law should this occur.
Users may make certain information or contents (including but not limited to photos and videos) available on the website. The member is wholly responsible for all such information and contents, including any decision to disclose personal information including but not limited their ethnic origin, nationality and/or religion. By providing such data on the website, the user concerned demonstrates his/her explicit wish and, consequently, consent to the processing of this "sensitive" data by ZaaBiz and freely accepts exclusive responsibility for doing so.

The data that may be stored on ZaaBiz is exclusively intended to help you build your professional network.

We use the information you provide for our various services. All precautions have been taken to store your data in a secure environment. None of the information you enter and that relates to you will ever be communicated to a third party, neither sold nor exchanged.

Due to the nature of a website, some non-personal data may be collected such as the version of your browser (Netscape, Internet Explorer, etc...), of your operating system (Windows, Mac, Linux, etc...) and your IP address.

ZaaBiz uses cookies when you visit our site, so that you do not have to enter the same information every time you access a page. You may deactivate the use of cookies by changing your preferences in your Internet browser. In this case, certain ZaaBiz features may no longer be available.

Your profile information is accessible on ZaaBiz. You therefore expressly authorise ZaaBiz to reproduce and distribute your data throughout all or part of ZaaBiz or via email. If you do not want ZaaBiz to reproduce or distribute this data, you may terminate your ZaaBiz account according to the conditions set forth in the Termination article below. You may also delete this information directly on the site.

 

Recurring Billing

 

ZaaBiz charges a fee for its Premium Services. The current pricing for these services is featured on http://www.zaabiz.com.au/page/about. Unless expressly stated otherwise, the pricing for use of any chargeable service or feature on ZaaBiz will be stated GST inclusive.

The subscription plans to the service consist of an initial period, for which there is a one time charge, followed by recurring period charges as agreed to by you. By entering into this agreement, you acknowledge that your subscription has an initial and recurring payment feature and you accept responsibility for all recurring charges prior to cancellation and authorise ZaaBiz to levy such charges.

ZaaBiz will submit periodic charges (e.g., monthly or yearly) without further authorisation from you, until you provide prior notice (confirmed in writing upon request by ZaaBiz) that you have terminated this authorisation or wish to change your payment method. Such notice will not affect charges submitted before ZaaBiz reasonably could act. To terminate your authorisation or change your payment method, go to http://www.zaabiz.com.au

In order to keep your Premium Membership status valid you must provide current, complete and accurate information for your billing account. You must promptly update all information to keep your billing account current, complete and accurate (such as a change in billing address, credit card number, or credit card expiration date), and you must promptly notify ZaaBiz if your payment method is cancelled (e.g., for loss or theft) or if you become aware of a potential breach of security, such as the unauthorised disclosure or use of your username or password. Changes to such information can be made on the website. If you fail to provide ZaaBiz any of the aforementioned information, you agree that ZaaBiz may continue charging you for any use of the service under your billing account unless you have terminated your subscription for the service (confirmed in writing upon request by ZaaBiz).

 

Period of Subscription - Terminating your Account

 

At the end of your initial period, your ZaaBiz Premium Membership will be automatically renewed for a further identical period. You can end the automatic renewal of your subscription at any time by clicking the link in the 'Premium Membership' section on ZaaBiz.

Your request to end the subscription shall be deemed carried out on the working day following receipt by ZaaBiz of the request for closure of the account. In any event, this request does not entail reimbursement for the period remaining until the expiration date of the member's subscription.

In the event of a breach on your part of the present terms of use, ZaaBiz reserves the right to suspend or terminate your account without notification or compensation.

This termination shall occur without prejudice to all damages and interests that may be claimed against you by ZaaBiz or its assignees and legal representatives as remedy for any damages incurred as a result of such failures.

You will be informed by email of the termination of your account. All your data will be deleted at your request or at the end of a 6-month period following the termination of your account.

 

Liability

 

The information provided by a member must be accurate and true. The consequences of its disclosure on your life and/or on that of other members are your exclusive responsibility. You waive the right to any legal action against ZaaBiz, and specifically on the basis of potential damage to your right of personal portrayal, to your honour, to the intimacy of your private life, resulting from the distribution or disclosure of any of your information.

ZaaBiz cannot be held liable for the accuracy or inaccuracy of information and content provided by other members, visitors to the site and/or you. Likewise, ZaaBiz cannot be held responsible for content distributed by a member that may infringe the rights of one or several other members.

The quality of the www.zaabiz.com.au  site required by both ZaaBiz and its members implies compliance with a certain code of ethics in the expression and behaviour of its members, the respect for the rights of third parties, as well as the respect of the laws and regulations in force. In order to meet the requirements of quality, individual and ethical responsibility, each member may notify ZaaBiz on the www.zaabiz.com.au  site of any data (picture, text), behaviour or words of another member which they believe infringe on laws and regulations in force, or harm the image or purpose of ZaaBiz, the rights of third parties or morality. Consequently, members acknowledge and accept that the data they provide, as well as their behaviour or their words are subject to notification by other members and to review and/or verification by ZaaBiz, on the basis of objective criteria of evaluation. In the event that this notification or verification reveal the violation by a member of any laws or regulations in effect or of the member's contractual obligations, the provisions of the current Terms of Use, and specifically actions set-out under "Termination of your account" may be enforced.

 

General provisions

 

If any part of this agreement is held invalid that part shall be severed from this agreement and the remainder of this agreement will continue to be valid and enforceable.

Termination of this agreement will not end those provisions that are capable of surviving the ending of this agreement.

The laws governing this agreement will be the laws in New South Wales, Australia and you irrevocably submit to the exclusive jurisdiction of its Courts and its Appellate Courts and the jurisdiction of the Federal Court of Australia sitting in New South Wales.

For the purposes of this agreement the words "ZaaBiz", "ZaaBiz Pty. Ltd. ", "We", "Our" and "Us" refer to ZaaBiz Pty Ltd t/as ZaaBiz and "Site" to materials delivered on www.zaabiz.com.au  and other co-branded versions of the site or other related domain names such as (but not limited to) www.zaabiz.com.au , www.zaabiz.net.au  .
